    1. Introduction & Acceptance

    1.1 The Digidrop Platform
    Digidrop (“we,” “us,” or “our”) is an online marketplace operated by Dirasol, a company registered in the Kingdom of Morocco. It allows users (“Users”) to offer, sell, and purchase digital products through our website, www.Digidrop.ma (the “Site”), and associated applications (collectively, the “Services”). Digidrop acts solely as a facilitator, providing the venue and technology for transactions. We are not the owner or seller of the items listed on the platform, nor are we the buyer of items purchased.

    1.2 Binding Agreement
    By accessing, browsing, or registering on the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and all other policies referenced on the Site. These Terms form a legally binding agreement between you (“User,” “you”) and Digidrop. By continuing to use our Services, you agree to any changes or updates to these Terms. If you do not agree to these Terms, do not use the Site.

    1.3 Modifications
    Digidrop reserves the right to modify or update these Terms at any time, and such modifications will be effective upon posting to the Site with an updated “Last Updated” date. By continuing to use the Services after any changes, you accept the updated Terms.

    1.4 Eligibility
    To use our Services, you must:

    • Be at least 18 years old and capable of entering into a legally binding contract.
    • Provide accurate and complete registration information.
    • Not be restricted from receiving our Services under Moroccan or applicable international laws.
    Additionally, our Services are only available to users located in Morocco. By using our Services, you confirm that you are residing in Morocco and that you are not barred from receiving our Services under Moroccan or other applicable laws. If you are outside Morocco, you are not eligible to use our Services.

    2. Definitions

    • “Buyer”: A User who purchases Digital Products through the Site.
    • “Content”: Any data, text, images, software, reviews, product listings, or other information posted on the Site.
    • “Digital Product”: A digitally delivered item available for sale on the Site, such as software, templates, eBooks, digital art, and online courses.
    • “Seller”: A User who lists Digital Products for sale on the Site.
    • “User” or “You”: Any person or entity accessing or using the Site.
    • “User Content”: All Content uploaded, posted, or otherwise submitted by a User to the Site.
    • “Escrow”: A payment process where funds are held in a secure account until the Buyer has received and accepted the Digital Product.

    3. User Accounts

    3.1 Registration
    You must create an account ("Account") to access certain features on the Site. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account. You agree to notify us immediately if you suspect any unauthorized use of your account.

    3.2 Accuracy
    You agree to provide accurate, current, and complete information during registration and to update it as necessary to ensure that it remains accurate.

    3.3 Account Suspension or Termination
    We reserve the right to suspend or terminate your Account, at our sole discretion, if we suspect any breach of these Terms, fraudulent activity, or illegal conduct. We may also suspend or terminate your Account in compliance with applicable laws.

    4. The Marketplace Relationship

    4.1 Digidrop's Role
    Digidrop provides the technological platform for Sellers to list Digital Products and for Buyers to purchase them. Digidrop is not involved in the actual transaction between Buyers and Sellers and is not liable for the quality, safety, legality, or morality of any Digital Product listed on the Site. We do not verify the legality or accuracy of any content posted by Sellers.

    4.2 Seller Obligations

    • You are solely responsible for the description, quality, legality, morality, and delivery of the Digital Products you list.
    • You must have the necessary rights, licenses, and permissions to sell the Digital Products listed on the Site.
    • You must not list prohibited items (see Section 5.4 for prohibited content).
    • You grant Digidrop a worldwide, royalty-free license to display, promote, and distribute your content as necessary to operate the marketplace.

    4.3 Buyer Obligations

    • You are responsible for reading the full item description before making a purchase.
    • You agree to abide by the usage license provided by the Seller for the Digital Product.
    • All sales are final unless the product is materially different from the description or if there is a failure in delivery.

    5. Prohibited Conduct & Content

    Users must not use the Services to:

    • List, upload, or sell Digital Products that are illegal, infringe on intellectual property rights, are defamatory, pornographic, or promote hate speech, violence, or discrimination.
    • Engage in fraudulent, deceptive, or misleading practices.
    • Attempt to circumvent the fee structure or avoid any applicable taxes.
    • Interfere with the security or operation of the Site or other users.
    • Harass, abuse, or threaten other users.
    • Violate laws.

    Reporting Violations
    If you encounter any content that violates these Terms, you may report it to Digidrop by contacting us at contact@digidrop.ma.

    6. Financial Terms

    6.1 Fees for Sellers
    Digidrop charges a commission on each sale made through the Site. All applicable fees will be disclosed prior to listing an item for sale or completing a transaction. We reserve the right to modify our fees with at least 14 days’ notice.

    6.2 Payment Processing
    Payments are processed through the third-party payment processor YouCanPay. By using our Services, you agree to their terms and conditions. Digidrop is not responsible for any issues related to these third-party processors.

    6.3 Taxes
    Sellers are responsible for collecting and remitting taxes, including VAT, applicable to their sales. Digidrop may be required to provide transaction data to Moroccan tax authorities as per local regulations.

    7. Intellectual Property

    7.1 Your Content
    You retain all intellectual property rights in the Digital Products and Content you upload. By listing a Digital Product for sale, you grant Digidrop a worldwide, royalty-free license to use, display, and distribute your content as necessary to operate the marketplace.

    7.2 Our Content
    All content created by Digidrop, including logos, text, and graphics, is our intellectual property and is protected by Moroccan and international copyright laws.

    7.3 Copyright Infringement
    If you believe that your intellectual property rights have been infringed upon, please contact us at contact@digidrop.ma with details, and we will take appropriate action.

    8. Transactions Between Buyers and Sellers

    8.1 Escrow Process
    Digidrop operates an escrow system for all transactions. The purchase price paid by the Buyer is held securely and is not released to the Seller until the Buyer explicitly accepts the delivered Digital Product.

    8.2 Acceptance & Release of Funds
    Upon delivery, the Buyer has a specified period to review the Digital Product. By clicking "Accept Delivery", the Buyer authorizes Digidrop to release the escrowed funds to the Seller, minus any applicable fees. This action concludes the transaction.

    8.3 Initiation of a Dispute
    A dispute is automatically initiated when a Buyer clicks "Reject Delivery" within the review period. By doing so, the Buyer asserts that the Digital Product is materially different from the Seller's description or was not delivered at all.

    8.4 Dispute Process Overview
    The dispute resolution process is designed to be fair and efficient, progressing through several stages:

    • Stage 1: Dispute Initiation & Seller Response Period
    • Stage 2: Direct Negotiation
    • Stage 3: Platform Mediation

    8.5 Stage 1: Seller Response Period
    Upon a dispute being opened, Digidrop will notify the Seller and create a dispute record. The escrowed funds will be locked. The Seller has 48 hours to respond. Failure to respond will result in an automatic full refund to the Buyer. The Seller's response options are:

    • Option 1: Immediate Refund. The Seller can choose to immediately refund the Buyer.
    • Option 2: Offer a Solution/Revision. The Seller can propose a solution.
    • Option 3: Contest the Rejection. The Seller can contest and provide evidence.

    8.6 Stage 2: Direct Negotiation
    If the Seller offers a solution or contests the rejection, a direct communication channel is opened for a 72-hour negotiation period. If an agreement is reached and confirmed by both parties, the dispute will be closed.

    8.7 Stage 3: Platform Mediation
    If negotiation fails, either party may escalate, or it will be auto-escalated to Digidrop. A mediator will review the evidence and propose a solution.

    8.8 Chargeback Policy
    Buyers agree to use Digidrop's internal dispute resolution process exclusively and to not file a chargeback with their payment provider while a dispute is active or could be initiated. Filing a chargeback in violation of this agreement constitutes a material breach of these Terms and will result in the immediate termination of your account.

    8.9 Release
    By using the Services, you release Digidrop from all claims arising out of disputes with other users.

    9. Disclaimers & Limitation of Liability

    9.1 "As Is" Service
    THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Digidrop EXPLICITLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

    9.2 Limitation of Liability
    TO THE FULLEST EXTENT PERMITTED BY MOROCCAN LAW, Digidrop SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

    10. Indemnification

    You agree to indemnify and hold harmless Digidrop, its affiliates, and their officers from any claim or demand made by any third party due to or arising out of your breach of these Terms, your use of the Services, or your violation of any law or the rights of a third party.

    11. Governing Law & Dispute Resolution (User vs. Digidrop)

    11.1 Governing Law
    These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, without regard to its conflict of law principles.

    11.2 Dispute Resolution
    Mandatory Negotiation: The parties agree to first attempt to resolve any dispute informally for a 72-hour period.
    Mediation: If negotiation fails, DigiDrop will verify the files delivered by the Seller, ensuring they match the product description, and investe both parties' claims in order to resolve the dispute fairly. Both the Buyer and Seller will be required to provide evidence supporting their claims, including product files, descriptions, and communication records.
    Court Jurisdiction: Notwithstanding the above, either party may seek injunctive relief in the competent courts of Morocco, to protect its intellectual property rights. DigiDrop, is not responsible for the quality, legality, or delivery of the Digital Products sold on the platform, and therefore DigiDrop cannot be held liable for any issues or disputes arising from the products listed, and users agree not to sue DigiDrop or Dirasol SARL for any claims related to the products or transactions conducted through the platform.

    12. Miscellaneous

    Severability: If any provision of these Terms is held to be invalid, the remaining provisions will remain in full force.
    No Waiver: Our failure to enforce a right does not constitute a waiver of that right.
    Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Digidrop regarding the Services.
